Terms of Service

Effective: March 2026

1. Acceptance of Terms

By accessing or using the GPUsMarket platform ("Service"), operated by Tyga.Cloud Ltd (company number 14643275, registered in England and Wales), you agree to be bound by these Terms of Service ("Terms"). GPUsMarket is a division of Tyga.Cloud Ltd. If you do not agree, you must not use the Service.

These Terms apply to all users, including GPU hosts ("Hosts"), GPU renters ("Renters"), and any person granted access to a GPUsMarket account.

2. Description of Service

GPUsMarket is a peer-to-peer GPU rental marketplace. Features include, but are not limited to:

• Listing and renting GPU computing resources (Ollama endpoints)
• Proxied access to hosted Ollama LLM inference endpoints
• Automated health monitoring and uptime tracking of GPU listings
• Usage metering (tokens, latency, cost tracking per rental)
• Stripe Connect payouts for GPU hosts
• Integration with agenticmemory.ai for persistent LLM conversation memory
• Analytics dashboards for hosts and renters

We may add, modify, or discontinue features at any time with reasonable notice.

3. Account Registration & Security

To use GPUsMarket you must create an account with accurate, current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately at dpo@tyga.cloud if you suspect unauthorised access to your account.

4. Host Responsibilities

If you list GPU resources on GPUsMarket, you agree to:

• Provide accurate information about your GPU hardware, VRAM, and available Ollama models
• Maintain reasonable uptime and availability of your listed endpoints
• Not use the platform to distribute malicious software or tamper with renter requests
• Comply with all applicable laws regarding the operation of computing infrastructure
• Accept that GPUsMarket monitors endpoint health and may delist persistently unavailable resources

5. Renter Responsibilities

If you rent GPU resources on GPUsMarket, you agree to:

• Use rented GPU resources only for lawful purposes
• Not attempt to bypass proxy controls or access host infrastructure directly
• Not use the Service to generate content that violates applicable laws
• Pay for usage as metered by the platform

6. Billing & Payments

GPUsMarket uses Stripe for payment processing, including Stripe Connect for host payouts. By using the Service, you authorise us to charge the applicable fees to your chosen payment method.

Hosts receive payouts via Stripe Connect after applicable platform fees are deducted. Payout schedules and minimum thresholds are displayed in the host dashboard.

All fees are exclusive of VAT and applicable taxes unless stated otherwise. Fees are non-refundable except where required by law or as described in our refund policy.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Use the Service to transmit spam, phishing attempts, or unsolicited communications
• Resell, sublicense, or redistribute the Service without our prior written consent
• Reverse-engineer, decompile, or disassemble any part of the Service
• Attempt to circumvent usage metering or billing systems

8. Intellectual Property

All content, design, code, trademarks, and intellectual property associated with GPUsMarket are owned by Tyga.Cloud Ltd or its licensors. You retain ownership of the data you upload to the Service. By using GPUsMarket, you grant us a limited licence to process your data solely for the purpose of providing the Service.

9. Data Handling

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using GPUsMarket, you consent to our data practices as described therein.

10. Third-Party Services

GPUsMarket integrates with third-party services to provide functionality. These include:

• Stripe & Stripe Connect — payment processing and host payouts
• SendGrid — transactional email delivery
• agenticmemory.ai — persistent LLM conversation memory (optional)
• Ollama — LLM inference endpoints hosted by GPU hosts

Your use of these integrations is subject to the respective third party's own terms and privacy policies. Tyga.Cloud Ltd is not responsible for the practices or availability of third-party services.

11. Service Availability & SLA

We strive to maintain high availability of the GPUsMarket platform but do not guarantee uninterrupted access. GPU endpoint availability is the responsibility of individual hosts. We shall not be liable for any downtime, data loss, or service disruption caused by factors beyond our reasonable control, including host endpoint outages.

12. Limitation of Liability

To the maximum extent permitted by law, Tyga.Cloud Ltd's total aggregate liability to you for any claims arising out of or relating to the Service shall not exceed the total fees you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

13. Indemnification

You agree to indemnify and hold harmless Tyga.Cloud Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service or breach of these Terms.

14. Termination

You may cancel your account at any time through the application settings. We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or if we are required to do so by law.

Upon termination, active rentals will be ended and any outstanding balances settled. Hosts will receive final payouts for completed rentals within the standard payout schedule.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or in-app notification at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
